This Roll-Off Dumpster Rental Agreement is entered into between Forging Solutions LLC ("Company") and the undersigned Customer. By signing this Agreement, Customer acknowledges and agrees to all terms and conditions contained herein.
The Customer and rental details set forth in the Booking Summary attached to and delivered with this Agreement are incorporated into and form part of this Agreement.
# 1. Equipment and Rental
Company agrees to rent Customer one or more roll-off dumpsters for temporary use at the approved jobsite address. All dumpsters and related equipment remain the sole property of Company at all times.
# 2. Rental Period
The rental period begins on the date the dumpster is actually delivered to the jobsite, not on the scheduled delivery date, and ends on the pickup date for the rental term purchased unless extended in writing by Company. Company commits to the delivery day, not to an exact delivery time. If delivery is delayed, the rental period does not begin until the dumpster is on site, and the pickup date shall be adjusted so that Customer receives the full rental period purchased. Additional daily rental charges may apply after expiration of the agreed rental period.
# 3. Pricing and Payment Terms
Customer agrees to pay all rental charges, overweight fees, disposal fees, extension fees, fuel surcharges, prohibited material charges, trip charges, mileage fees, taxes, damages, cleanup costs, administrative fees, and any additional charges incurred under this Agreement. A mileage surcharge of $4.00 per mile shall apply for any delivery location exceeding 20 miles from Company's primary business location. Any tolls incurred during dumpster delivery or pickup are the responsibility of the Customer and will be added to the final invoice. Rental pricing includes the agreed tonnage listed above. Any weight exceeding the included tonnage shall be charged at an additional rate of $120.00 per ton. renters are not to exceed 5 Ton. Proof of weight will be provided upon request. Payment is due at the time of booking and scheduling of delivery unless otherwise agreed in writing. Customer authorizes Company to charge any payment method on file for unpaid balances or additional charges. Past-due balances may accrue interest at 1.5% per month or the maximum amount allowed under Virginia law. Customer agrees to pay all collection costs, attorney's fees, court costs, and enforcement expenses incurred by Company.
# 4. Delivery, Placement, and Site Conditions
Customer shall provide safe, level, and accessible placement for delivery and pickup. Customer is solely responsible for obtaining required permits for placement on streets, rights-of-way, or restricted areas. Customer assumes all risk of damage to driveways, sidewalks, curbs, lawns, landscaping, pavement, underground utilities, sprinkler systems, septic systems, or structures caused by delivery vehicles or dumpsters. Company shall not be liable for such damage.
Delivery times and scheduling are at the sole discretion of Company and its delivery personnel. While Company will make every effort to accommodate requested delivery times, exact delivery windows cannot be guaranteed.
The delivery location must be fully accessible and free of all obstructions at least 12 hours prior to Customer's requested delivery date. This includes ensuring adequate clearance for the delivery truck and placement of the dumpster.
If the delivery location is inaccessible or not properly prepared, delivery may be delayed or canceled. In such cases, a fee of 50% of the total rental charge may be assessed.
Customer may submit optional special delivery requests with the booking, such as preferred placement, a requested delivery time, or gate codes and other access instructions. Company will make every reasonable effort to accommodate these requests; however, they cannot be guaranteed.
Any parking tickets, citations, or violations resulting from the dumpster placement or Customer's requested delivery location are the sole responsibility of Customer.
# 5. Loading Rules and Weight Limits
All debris must remain level with the top edge of the dumpster. Materials may not overhang, protrude, or exceed legal transport limits. Company may refuse pickup of overloaded, unsafe, or improperly loaded dumpsters until corrected at Customer's expense. Customer shall be responsible for all related trip fees, reload costs, disposal charges, fines, labor costs, citations, and delays. Renter understands that the dumpsters have a 5 Ton weight limit. Any fees incurred due to exceeding weight limit is at the expense of the renter.
# 6. Prohibited Materials
The following materials are prohibited unless approved in writing by Company: hazardous waste, chemicals, paints, oils, solvents, asbestos, flammable materials, liquids, propane tanks, batteries, tires, medical waste, biohazardous materials, radioactive materials, and illegal substances. Customer accepts full legal and financial responsibility for all contents placed into the dumpster and shall be liable for all disposal costs, environmental claims, cleanup costs, governmental fines, remediation expenses, damages, and attorney's fees arising from prohibited materials.
# 7. Care and Ownership of Equipment
All dumpsters remain Company property at all times. Customer assumes full care, custody, and control while equipment is on site and is responsible for theft, fire, vandalism, misuse, unauthorized relocation, contamination, structural damage, or destruction beyond normal wear and tear. Customer shall not move, alter, overload, or tamper with equipment without Company's prior written approval.
# 8. Access and Retrieval Rights
Customer authorizes Company and its agents to enter the property at reasonable times for delivery, inspection, maintenance, servicing, replacement, or retrieval of equipment. If Customer prevents retrieval of equipment, Customer shall remain responsible for additional rental charges, towing expenses, recovery costs, attorney's fees, and legal expenses.
# 9. Indemnification
Customer agrees to defend, indemnify, and hold harmless Company, its owners, employees, contractors, agents, and insurers from all claims, liabilities, damages, penalties, fines, losses, lawsuits, judgments, environmental claims, and expenses, including attorney's fees, arising from Customer's use of the dumpster, site conditions, prohibited materials, overloading, or violation of this Agreement.
# 10. Limitation of Liability
Company shall not be liable for indirect, incidental, consequential, punitive, or special damages, including project delays, lost profits, business interruption, or property damage arising from delays, weather, traffic, disposal facility closures, equipment failure, or events beyond Company's control. Company's total liability under this Agreement shall not exceed the total amount paid by Customer.
# 11. Default and Remedies
Failure to pay amounts due, denial of access, overloading, placement of prohibited materials, or violation of any material term of this Agreement shall constitute default. Upon default, Company may suspend services, retrieve equipment without notice, pursue collections, seek damages, refuse future service, and exercise all remedies available under Virginia law.
# 12. Governing Law and Venue
This Agreement shall be governed exclusively by the laws of the Commonwealth of Virginia. Any legal action arising under this Agreement shall be brought exclusively in Fairfax County, Virginia. Customer waives any objection to jurisdiction or venue.
# 13. Entire Agreement
This Agreement constitutes the complete understanding between the parties and supersedes all prior discussions or representations. Any modification must be in writing and signed by both parties.
# 14. Acknowledgment and Electronic Signature
By typing your full legal name and submitting this Agreement electronically, Customer acknowledges that Customer has read, understood, and agreed to this Agreement in its entirety, and that Customer's single electronic signature applies to, and constitutes Customer's acknowledgment and acceptance of, each and every section of this Agreement. Customer agrees that this electronic signature is executed under the federal Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and the Virginia Uniform Electronic Transactions Act (UETA), and has the same legal force and effect as a handwritten signature.
By completing the reservation, Customer acknowledges that Customer has read, understands, and agrees to these terms.
